CHARTER OF THE ATLANTIC DIVISION OF THE AMERICAN CANOE ASSOCIATION, INC. AGREEMENT between the American Canoe
Association, Inc (“ACA") and the ATLANTIC Division of the ACA (“the Division") WHEREAS the American Canoe Association is organized
exclusively for nonprofit public
benefit, within the meaning of Section 50l(c) 3 of the Internal Revenue Code of
1986 (as amended), serving as a national forum for all paddlers, addressing
their needs and promoting the benefits of canoeing and other paddle sports as
lifetime recreational activities through Safety Education and Instruction,
Athletic Competition, Conservation and Public Policy, and Recreation. WHEREAS Divisions are chartered by the ACA to represent the
Association on a state or multi-state level. THEREFORE, this Charter is willfully entered into by the ACA and
the ATLANTIC Division of the American Canoe Association Inc. on the date
recorded below. This charter is granted
in perpetuity, until surrendered or revoked. SECTION 1.
Regarding the Responsibilities of the Division: A.) General Purposes: The Division is established to effect the purposes of
the Association within the geographic areas defined in paragraph C, and to
represent and serve the members of the Association residing in that area. The
Division shall facilitate communication and cooperation among the ACA, Activity
Committees and all ACA Affiliate clubs within its divisional jurisdiction. American Canoe
Association, Inc " Any change to the divisional name must be approved by
ACA Board of Directors C.) Jurisdiction: The geographic jurisdiction of the Division consists
of Those Counties of New
York and New Jersey specified in Article 3 of our Constitution (see
attachment). Any change to this
jurisdiction must be approved by the ACA Board of Directors D.) Divisional
Membership: All ACA members residing
within the geographic jurisdiction of the Division will also be considered
members of the Division and will be entitled to all membership benefits and
other privileges offered by the Division without the remittance of additional dues or other
payments. Only ACA members will be
members of the Division. Special
provisions may be made for members who move into the geographic jurisdiction of
another Division but wish to retain their membership in this Division. New ACA
members who reside in the geographic jurisdiction will be assigned to this
Division. The Division will he
responsible for producing and distributing (free of charge) to its resident
members at least two (2) Divisional newsletters each year, including a schedule
of all Divisional events SECTION
II. Regarding the Governance and Financial Responsibilities: A.) Corporate Status:
The Division may exist as an
independent nonprofit corporation or as a non-incorporated subordinate of the
ACA. Prior to self-incorporating, the
Division must have the specific approval of ACA Board of Directors. The self-incorporated Division will not have
independent tax-exempt status but will instead be included as a subordinate
under the ACA's Group Determination Letter. B.) Divisional
Bylaws: The Division will submit bylaws defining an
organizational structure acceptable to the ACA. Bylaws and any changes to those
bylaws must be approved by the ACA Board of Directors. The purposes of the Division will be specified
in its bylaws and will be consistent with and an extension of the purposes of
the ACA C.) Governance: The Division will be managed by a board of directors
and its officers, including the position of Divisional Chairperson which shall
be the chief elected officer of the Division and who shall serve on the
Divisional Committee as per Article VIII, Section 2,B of ACA's bylaws. D.) Accounting and Reporting: The Division
will comply with all accounting and other reporting requirements as established
by the ACA. The Division's fiscal year will coincide with the ACA, currently
October 1 to September 30. E.) Membership Dues: The Division
will receive three (3) percent of all membership dues paid by all ACA members
residing in its jurisdiction. These membership dues will be remitted to the
Division by the ACA National Office on a quarterly basis. F.)
Ownership of Property: The Division may not borrow money nor own real estate,
but the National
Board of Directors may place the management of Association real property with
the Division. C.)
Name and Service Marks: The Division
will use tile unaltered logo and other service marks of the ACA in
connection with the use of its name, and display of names and logos will comply
with the ACA graphics standards. Ownership of the name, logo, and other service
marks of the ACA will remain entirely with the ACA, and use of these marks by
the Division will be permitted only by adoption of this charter. A.) Term of the
Charter: This Charter is granted in perpetuity, until it is
surrendered or revoked. The ACA
reserves the right to revoke the Divisional charter or ask that it be
surrendered at any time should the Division, in the ACA's judgment be found to
be in material breech of its charter or operating in a fashion contrary to the
best interests of the ACA. Further, the
ACA reserves the right to change or otherwise alter the terms of this charter
in any fashion and at any time, provided that the affected Divisions are given
sufficient opportunity to comment on such changes before their enactment, and
with the provision that the Division may elect to surrender its charter should
it find such a change unacceptable B.)
Reaffirmation of Charter: Each
newly installed Divisional Board of Directors will review the Divisional
charter upon taking office, and reaffirm through resolution its understanding
and acceptance of this document and any amendments thereto C.) Dissolution of
the Division: The Division shall use
its funds and other assets exclusively for the effectuation of those purposes
and objectives stated in this charter Upon surrender or revocation of this
charter, any remaining funds or assets shall he returned to the ACA to further
the ACA's purposes WITNESS IN WHEREOF, The parties hereto have caused this Charter to
he executed by their duly authorized representatives all as of the date below
written.
